Tokio Marine HCC – Financial Lines, a member of Tokio Marine HCC group of companies has an exciting opportunity for a Transactional Risk Insurance Underwriter – Mergers and Acquisitions  in our office located in New York, NY. This position will be a key member of the TRI Group and work extremely closely with the Lead Underwriter to provide support on all stages of underwriting. This position will be responsible to analyze and underwrite merger and acquisition transactions leading to representation and warranty (R&W) insurance policies, including drafting, negotiating, and adapting policy terms. Key Responsibilities:

This position carries out responsibilities in the following functional areas:

  • Identify deal risks through the study and analysis of merger and acquisition (M&A) transaction documentation, both public and private, as well as due diligence reports. Review R&W insurance submissions, prepare and submit indications, liaise with brokers, and secure business.
  • Provide support to Senior Underwriters in all stages of the underwriting process, including monitoring transaction status, quoting and policy progress, premium statements, and policy-related documentation (e.g., conditional binders, no claims declarations).
  • Review financial statements and quality of earnings analysis of M&A targets.
  • Draft, negotiate, and adapt policy terms for the specific risks and challenges that an M&A transaction presents.
  • Direct and oversee the performance of external legal counsel and other diligence experts representing the insurer in R&W policies

Job Requirements


  • Experience: Ideally, the successful candidate will have 3-4 years of relevant and progressive professional experience in Legal Service, or relevant experience in Transactional Risk Insurance Underwriting or Accounting/Finance background with financial statements auditing experience.
  • Industry awareness: Specific experience with negotiating and drafting representations and warranties and indemnification terms in transactional documents or other transactional risk insurance. Understanding of legal documentation, financial statements, and tax issues as well as knowledge of legal exposures in transactions (taxation, breaches, litigation, price adjustment, damages, GAAP, etc.) preferred.
  • Success characteristics:

    • Ability to build trust and relationships with brokers, lawyers private equity firms, deal principals, and colleagues from Tokio Marine HCC offices worldwide is essential
    • Sound analytical skills, as well as strong problem-solving aptitude
    • Proactively respond to a fast paced changing business environment
    • Optimization of work processes. Knows the most effective and efficient processes to get things done, with a focus on continuous improvement
    • Flexibility and a willingness to learn
    • Detail-oriented with a strong sense of urgency , effectively using prioritization and organizational skills
  • Communications: Must be an exceptional communicator with an emphasis on confidentiality, tact, and diplomacy (additional language skills are a plus)
  • Educational requirements: The ideal candidate will have a Juris Doctorate or a Bachelor’s degree in Accounting or Finance or related field or the equivalent education and/or experience.
  • Advanced proficiency and experience using Microsoft Office Package (Excel, Access, PowerPoint, Word)
